Press release from Trelleborg AB’s 2020 Annual General Meeting

Trelleborg AB’s Annual General Meeting was held on April 23, 2020, in Trelleborg, Sweden.

Dividend

In accordance with the proposal of the Board, the Annual General Meeting resolved to not pay a dividend for the 2019 fiscal year.

The Meeting noted however that, when the market has stabilized, and visibility of earnings has normalized, it is the Board’s ambition to call to an extraordinary general meeting later this year, to decide on a dividend for the 2019 fiscal year.

Income statement and balance sheet

The Meeting adopted the income statement and balance sheet, and the consolidated income statement and balance sheet for 2019.

The members of the Board and the President were discharged from personal liability for the 2019 fiscal year.

Board of Directors and auditor

In accordance with the Nomination Committee’s proposal, Hans Biörck, Gunilla Fransson, Johan Malmquist, Peter Nilsson, Anne Mette Olesen, Susanne Pahlén Åklundh and Jan Ståhlberg were re-elected as Board members. Panu Routila had declined to be re-elected. The Meeting elected Hans Biörck as Chairman of the Board.

The Company’s auditor, Deloitte AB, with Hans Warén as auditor in charge, was re-elected for the period until the close of the 2021 Annual General Meeting.

Remuneration and remuneration guidelines

In accordance with the Nomination Committee’s proposal, the Meeting decided on unchanged Board fees compared to 2019.

The Meeting decided that the total fees paid to the Board, excluding travel expenses, be
SEK 4,750,000, with SEK 1,750,000 to be paid to the Chairman and SEK 600,000 each to be paid to those Board members who are not employed within the Trelleborg Group. The Meeting decided that the auditor’s fees be paid on a current account basis.

In addition, the Meeting decided that fees paid to those assigned to the Audit Committee be
SEK 220,000 for the Chairman and SEK 140,000 for each member and that fees paid to those assigned to the Remuneration Committee be SEK 125,000 for the Chairman and SEK 75,000 for each member. The Meeting also decided that fees paid those assigned to the Finance Committee be SEK 75,000 each for the Chairman and the members.

In accordance with the Board’s proposal, the Meeting approved the remuneration guidelines for the President and senior executives.
